IKFACE PARTNER PORTAL TERMS OF USE

Versione / Versión / Version 2026-10-26.1 · In vigore dal / Vigente desde / Effective from 2026-10-26

1. Operator and scope. The IKFace partner portals are operated by INFOKRAUSE S.R.L. con Socio Unico, Via delle Speronelle 15, 09045 Quartu Sant'Elena (CA), Italy, tax code, VAT and Cagliari Companies Register no. 04126260928 («INFOKRAUSE»). They comprise the distributor portal (distribution.ikface.net) and the integrator portal at ikface.net («Portals»). They are reserved for authorised distributors with a distribution agreement with INFOKRAUSE («Distributor») and for integrators appointed by a Distributor («Integrator»), together the «Partners».

2. Acceptance and precedence. Whoever accesses accepts these terms on behalf of the Partner and declares that it is authorised to do so. For the Distributor the distribution agreement prevails; the Integrator is liable to its Distributor under their arrangements and to INFOKRAUSE for the use of the Portals under these terms.

3. Accounts and security. Credentials are personal and not shared. The Partner authorises only its own staff, keeps users up to date, uses multi-factor authentication when available and promptly notifies INFOKRAUSE of unauthorised access or compromised credentials. The Partner is liable for actions taken with its accounts. Attempting to access other Partners' or customers' data, circumventing controls or testing vulnerabilities without authorisation is prohibited (see INFOKRAUSE's Vulnerability Policy).

4. Licence generation. The Partner generates licences only for real end customers, with accurate data, within the Distributor's territory and under a customer order. Each commercial licence generated in the Portals, by the Integrator or by the Distributor, is a purchase by the Distributor, invoiced by INFOKRAUSE under the distribution agreement. Demo licences are only for genuine, temporary evaluation; using them in production, renewing them repeatedly or passing them to third parties is prohibited.

5. EULA and customer promises. Each end customer uses IKFace under INFOKRAUSE's EULA, accepted upon activation. The Partner grants no different or broader rights, promises no features, accuracy or regulatory compliance not stated in the Documentation and does not promote uses prohibited by the EULA (clause 7), including emotion recognition in workplaces or education. The Partner may provide first-level support.

6. Personal data. In the Portals the Partner enters end customers' contact data (name, email, phone, company) and appliance technical data. INFOKRAUSE processes them as an independent controller to manage licences, activations, invoicing, support and security, under the ikface.net Privacy Policy. The Partner warrants that it may disclose them and informs end customers by referring to that Privacy Policy. No images, video, biometric templates or data processed by IKFace at the customer site are uploaded to the Portals. If the Partner accesses customer installations, it does so on the customer's behalf and under its own responsibility.

7. Confidentiality. Prices, discounts, technical documentation, roadmaps and customer data visible in the Portals are confidential and used only to distribute and support IKFace.

8. Logs, verification and suspension. INFOKRAUSE logs access and operations in the Portals for security and invoicing and may verify that generated licences match real customers. In case of use contrary to these terms, compromised credentials or non-payment by the Distributor, INFOKRAUSE may suspend accounts or licence generation, with notice where possible. Suspension does not deactivate end customers' paid licences.

9. Availability and liability. The Portals are provided as available; INFOKRAUSE maintains them with due care but does not guarantee uninterrupted operation. Except for wilful misconduct or gross negligence (Art. 1229 Italian Civil Code), INFOKRAUSE is not liable to the Integrator for indirect damages or loss of profits arising from use of the Portals.

10. Changes, law and courts. INFOKRAUSE may update these terms; the new version is accepted at the next login. Italian law applies and the courts of Cagliari have exclusive jurisdiction. The text is drafted in Italian, Spanish and English; the Italian text prevails.

11. Specific approval (Arts. 1341 and 1342 Italian Civil Code). The Partner specifically approves clauses 4 (licences generated as Distributor purchases), 8 (suspension), 9 (limitation of liability) and 10 (exclusive jurisdiction of Cagliari).
